Our Constitution

Our constitution outlines how our club is governed and the expectations of members.

1. AIMS AND OBJECTIVES

  1. The objective of the North Warwickshire Reds (NWR) is to create a community of supporters of Manchester United Football Club (MUFC) in North Warwickshire and the surrounding area

  2. This will be achieved through visits to live matches at Old Trafford and other venues, and events organised by NWR

  3. Other objectives are:

    1. To represent the views of the members directly to MUFC

    2. Create a link between members of North Warwickshire Reds and MUFC

    3. To support members with ticket and travel arrangements

    4. To encourage social activities for members and supporters

    5. To forge a positive relationship between MUFC and fans

 

2. MEMBERSHIP

  1. NWR shall consist of annual members, running from 1 August to 31 July every year

  2. Acceptance as a member shall be at the discretion of the committee and subject to completion of the application form for such membership and payment of the annual subscription

  3. NWR shall not unreasonably refuse membership, but reserve the right to refuse membership to any individual should the committee determine their membership to not be in the best interests of NWR

  4. NWR membership will be encouraged from persons residing in North Warwickshire and the surrounding area, but will not be refused to persons living outside the area

  5. Membership is open to any person, regardless of race, gender, sexuality, or disability, that:

    1. Supports MUFC

    2. Is not subject to any stadium or football related ban and/or disciplinary action

    3. Agrees to adhere to the rules and regulations of NWR

    4. Holds a valid and fully paid MUFC membership

  6. Any applicant wishing to join must complete an application form

  7. The committee has the right to suspend or expel any member who infringes upon the rules or NWR, or whose conduct renders them unfit to be a member

  8. Suspended members forfeit all membership rights and are not entitled to any refund of membership fees

  9. No member may use the name of NWR without permission from the committee

  10. Members who make a payment to NWR for tickets or travel and fail to show are not automatically entitled to a refund, and any repayment is at the discretion of the committee

  11. NWR will not tolerate members disrespecting each other

 

3. TERMINATION OF MEMBERSHIP

  1. A member shall cease to be a member of NWR and their name shall be removed from the register:-

    1. Upon the expiry of annual membership on 31 July, if the membership fee for the following year has not been paid

    2. If they formally notify NWR in writing that they resign their membership

    3. If their conduct, in the opinion of the committee, has been prejudicial to the interest of NWR

 

4. THE ELECTION OF HONORARY OFFICERS AND COMMITTEE

  1. At every Annual General Meeting the Chairman, Secretary and Treasurer and a committee shall be elected

  2. The committee shall consist of no less than, but not limited to, 5 elected members and shall include the Chairman, Secretary and Treasurer

  3. The Chairman, Secretary and Treasurer, and committee shall continue in existence until the next following Annual General Meeting

  4. No member is eligible for election as Chairman, Secretary, or Treasurer, or as a member of the Committee unless they have been a member of NWR for a continuous period of 180 days prior to the AGM

  5. Each adult member shall be entitled to one vote

  6. To be elected, a candidate must receive 51% of the vote of members present and voting.

  7. Any person with who NWR has a contract or arrangement where they stand to gain some benefit will be excluded from election to the committee unless the conflict of interest is fully declared to all members

 

5. NWR COMMITTEE MEETINGS

  1. The elected committee shall meet no less than three times a year

  2. The first of which shall be as soon after the Annual General Meeting as practicable.

  3. They may delegate duties to members as they see fit, including creating sub-committees where appropriate, subject to majority approval of the committee.

  4. All decisions shall be clearly communicated to members

  5. All members are bound any decision made

  6. Minutes shall be kept of all committee meetings

 

6. REMOVAL OF COMMITTEE MEMBERS

  1. No person shall be deprived of a position to which they have been elected unless:

    1. They have their membership removed under article 3.1.3

    2. There is an affirmative vote of not less than 2/3rds of committee members

  2. Any removal of a committee member shall be communicated to the membership as early as practicable

 

7. TRUSTEESHIP

  1. The committee shall be trustees of the funds and property NWR

  2. No trustee shall be entitled to any form of payment or benefit in kind in respect of his duties as trustee

  3. Trustee shall be entitled to receive reimbursement of reasonable authorized expenses incurred in the performance of his duties as a trustee

  4. Records of any payments made must be kept and accessible to members

 

8. NWR INCOME AND EXPENDITURE

  1. All monies received by NWR shall be promptly paid into a bank account in the name of NWR or Treasurer

  2. The funds and income of NWR may be expended for the benefit of membership

  3. No signatory/account operator shall make to themselves (or any firm or business undertaking in which they an interest) any payment out of NWR Funds in any form whatsoever unless this is for an expense as outlined in article 7(d) and authorised by the committee

  4. No gratuities or personal gifts whatsoever shall be paid or made to any person or organisation from or by the use of the funds of NWR

 

9. NWR ACCOUNTS

  1. The committee is responsible for producing the annual accounts for submission and approval to members at the Annual General Meeting

  1. The committee shall make an annual report, an income and expenditure account and a balance sheet for approval at each Annual General Meeting

  1. The Treasurer is responsible for the accounting for NWR. Financial records shall be kept up to date and information available to any member upon request

  2. Any member querying an entry/entries in the accounts should direct their query in writing to the Treasurer for a response

  3. If the response is unsatisfactory the query should then be put in writing for the attention of the General Manager Ticketing and Membership Manchester United

  4. No fund-raising on behalf of NWR may be carried out without the prior approval of the committee and to whom full details must be provided

 

10. COMMITTEE RESPONSIBILITIES AND OBLIGATIONS

  1. The committee shall act in pursuant of the aims, objectives and policies of the NWR at all times.

  2. The committee may publish literature in the name of NWR provided that:-

    1. It does not contain any statement inconsistent with MUFC objectives and declared policies

    2. It is consistent with NWR objectives and policies

  3. Any contact with the media relating to NWR must be through persons authorised to do so by the committee

 

11. ANNUAL GENERAL MEETING

  1. As soon as practicable following the conclusion of the football season the committee shall convene, and hold, the Annual General Meeting

  2. Not less than 14 clear days notice of the date of the Annual General Meeting shall be given to all members

  3. Not less than 7 clear days written notice shall be given to the Secretary of any resolution of nomination to be included at the Annual General Meeting

  4. Such notice shall include the names of the proposer and seconder

  5. The committee may refuse to include on the agenda any resolution the subject matter of which has been discussed at any General Meeting held within the previous two years

  6. The parent Manchester United Supporters Club may send representatives to the meeting

 

12. ADMINISTRATION OF GENERAL MEETING

  1. The Chairman shall preside at general meetings unless they are unable or unwilling to whereupon the committee shall appoint a Chairman for that meeting from among the membership present at the meeting

  2. No business shall be transacted at a general meeting unless a quorum of 15 members are present, one of whom at least shall be an officer of NWR. If within 30 minutes from the time appointed for a meeting a quorum is not present the meeting shall stand adjourned until such time and at such place as the committee may determine

  3. Every adult member present in person or online shall have one vote

  4. Minutes shall be kept of all general meetings and made available to all members

 

13. MATCH TICKET AND TRAVEL POLICY

  1. It is a condition of MUFC that NWR can only apply for tickets to visit Old Trafford on behalf of individuals who have a fully paid official MUFC membership

  2. All match tickets allocated to NWR by MUFC shall be allocated to members in accordance with NWR ticket and travel arrangements

  3. Any member who receives a ticket allocated to NWR by MUFC or from another NWR member must use transport provided by NWR, with exception by committee approval only

  4. All resales of tickets through NWR must:-

    1. Be at face value

    2. Transferred to the member purchasing the ticket through official MUFC channels

    3. Be transacted in accordance with MUFC policy

  5. Members selling match tickets to priority games are expected to prioritise regular attendees

 

14. COMPLIANCE WITH CONSTITUTION

  1. All persons employed by, or acting for, NWR must comply with this constitution

  2. The committee is responsible for ensuring this

 

15. DISSOLUTION OF NWR

  1. The North Warwickshire Reds Manchester United Supporters Club shall be dissolved and cease to exist in the event of the agreement of 75% of adult members at a Special General Meeting

  2. The committee will summon a Special General Meeting to consider dissolution of NWR if they think NWR is no longer viable

  3. In the event of dissolution, and after payment of all debts and liabilities, all remaining assets will be distributed to qualifying members

  4. To qualify for a share in any assets, an individual must be an adult member for the current season and have been a member for at least 12 months prior to the commencement of the current membership year

  5. A qualifying member will receive one share of the assets for each full year of membership, excluding the current season, up to to a maximum of three shares per member
